Foreign-owned companies from so-called “unfriendly” states looking to exit the Russian market are facing increasingly difficult conditions for sale of shares and assets. In some cases, company liquidation may prove to be a smoother option for these foreign shareholders. However, the process can be complex and time-intensive, requiring careful planning and adherence to specific legal steps.

Under Russian law the liquidation process should be completed within one year, though various hurdles - such as contractual challenges, tax implications, and unexpected creditors’ claims - can arise. Therefore, it is necessary to prepare the company for liquidation and be ready to solve ongoing issues, which requires cooperation and expertise from accounting, tax and legal perspectives.

Valeriy Getmanenko
Senior Tax Associate, SCHNEIDER GROUP Moscow
Valeriy joined SCHNEIDER GROUP in 2023 as a Senior Tax Associate, bringing over 20 years of practical experience in the tax law field. With advanced degrees in law and economics from Russian and American universities, including Lomonosov Moscow State University (Law), MGIMO (International Economics) and Brigham Young University (USA) (Juris Doctor), Valeriy worked for 15 years at Baker&McKenzie in Russia as Senior Tax Associate.

His expertise includes, among other, a broad range of tax law areas: tax planning, structuring and optimization, tax compliance, international taxation, as well as currency regulation and control planning and compliance.

He speaks Russian and English languages.
Daniil Korobko
Senior Associate, Real Estate Practice, SCHNEIDER GROUP Moscow

Daniil joined SCHNEIDER GROUP in 2017 as associate. He was promoted to senior associate in 2020. Daniil provides legal support for commercial activities of SCHNEIDER GROUP's customers in Russia and has over 9 years of professional experience.  

Daniil specialises in structuring, drafting and analysing  commercial agreements, civil law, regulatory requirements, and legal aspects of manufacturing localisation. He has supported companies from various industries, including pharmaceutical, industrial equipment manufacturing, FMCG, renewable energy, and IT.

Daniil graduated from Altai State University with a degree in Law. He speaks Russian and English.

Yadviga Pavlovich
Attorney-at-Law, Head of Dispute Resolution Practice, SCHNEIDER GROUP Moscow

Yadviga joined SCHNEIDER GROUP in 2020. 

She is responsible for litigation services. Yadviga is an advocate, member of the Moscow City Bar since 2013. In 1994-2005, she worked as an in-house lawyer in major Russian banks and oil and gas companies. Since 2005, she worked in Moscow offices of US and European law firms, specialising in representing clients’ interests in Russian commercial courts and courts of general jurisdiction. 

She has also experience in representing clients in international commercial arbitration and in cases of recognition and enforcement of foreign arbitral awards in Russia. Yadviga also represented clients in corporate disputes, for example, in the dispute between big telecommunication services providers from Europe and Russia, as well as in disputes arising from agreements on construction, goods supply (including international supplies) and logistics, in tax disputes, bankruptcy cases, labour disputes, disputes arising from provision of banking services for private clients, etc.
